1. General Terms
This Offer Agreement is a public proposal by KRATOS to enter into a supply or sale agreement for products under the terms below. The offer is addressed to legal entities, individual entrepreneurs and other buyers contacting KRATOS through the website, phone, e-mail, messengers or other communication channels.
The offer is not an unconditional obligation to supply any product without prior confirmation of availability, price, delivery time and payment terms. Final terms of a specific order are agreed in an invoice, commercial offer, delivery note, specification or other order confirmation document.
2. Acceptance
The buyer is deemed to have accepted this offer if they submit a website request, approve a commercial offer, pay an invoice, confirm an order in correspondence or actually receive the products.
A website request is a buyer inquiry. A contract for specific products is agreed after KRATOS confirms the order and the parties agree on product, quantity, price, timing, payment and delivery method.
3. Products and Website Information
Website information is provided for reference. Specifications, photos, availability, prices and product configuration may be clarified by a manager before order confirmation.
KRATOS may offer alternatives or replacements if a requested item is temporarily unavailable, discontinued or has changed technical parameters. The buyer independently checks product suitability for their equipment and production process.
4. Ordering
To place an order, the buyer provides contact details, billing details, requested names or part numbers, quantity, preferred delivery method and other information needed to process the request.
KRATOS may refuse to process an order if the information is incomplete or inaccurate, the product is unavailable, payment has not been received or order fulfilment is objectively impossible.
5. Price and Payment
Product price is defined in the invoice, commercial offer or another document agreed by the parties. Any indicative price shown on the website may change before order confirmation.
Payment is made in the manner agreed by the parties: bank transfer, invoice payment, prepayment, post-payment or another available method.
6. Delivery and Acceptance
Delivery is made by carrier services, pickup or another method agreed by the parties. Delivery timing depends on availability, carrier schedule, delivery region and other circumstances.
The buyer must check quantity, completeness, packaging condition and product condition upon receipt. If damage or mismatch is found, the buyer should record it with the carrier representative and notify KRATOS as soon as possible.
7. Returns and Claims
Returns, exchanges and claims are reviewed individually, considering product type, condition, supply documents, reason for the request and applicable Ukrainian law.
Products of proper quality that were specially ordered, imported, assembled, selected for specific equipment or show signs of use may be refused for return unless otherwise agreed by the parties.
8. Liability
The parties are liable for non-performance or improper performance of their obligations according to agreed documents and Ukrainian law.
KRATOS is not liable for losses caused by incorrect product selection by the buyer, misuse, technology violations, equipment incompatibility, natural wear, carrier actions or incomplete information provided by the buyer.
9. Force Majeure
The parties are released from liability for non-performance caused by force majeure, including military actions, blocked transport routes, fires, natural disasters, government decisions, power outages, carrier actions or other events beyond reasonable control.
10. Personal Data and Communication
By providing contact details, the buyer agrees that KRATOS may use them to process the request, prepare a commercial offer, issue an invoice, arrange delivery, provide service communication and fulfil arrangements.

11. Governing Law and Disputes
This offer and the parties’ relations are governed by Ukrainian law. Disputes are resolved through negotiations or, if no agreement is reached, under the procedure established by Ukrainian law.
